Turkcell has been listed on the NYSE and the BIST since July 2000 and is the only NYSE-listed company in Turkey.
Shareholder Structure
Turkcell was established as a joint stock company organized and existing under the laws of the Republic of Turkey in 1993 and commenced operations in 1994. Turkcell shares are listed on the Borsa Istanbul as ordinary shares and on the New York Stock Exchange as the American Depositary Shares (ADS) since July 11, 2000. 2 ADS represent 5 ordinary shares.
The nominal value of the issued share capital of Turkcell is TRY 2,200,000,000 consisting of 2,200,000,000 shares each with a nominal value of TRY 1.00 per share. 330,000,000 shares, corresponding to 15% of the issued capital are classified as Group (A) shares, and the remaining 85%, corresponding to 1,870,000,000 shares, are classified as Group (B) shares.
Group A Shares has been granted privileges on nomination and voting for the election of the members of the board of directors, the details of which are defined in the Article 7 of Turkcell’s Articles of Association.
